Request for factual clarification along with submission of account copies and supporting documents, DBD letter, letter from Department of Business Development.

We have services to help forign customer who may obtain some letter from DBD for requesting the factual clarification and some account and supporting document same as below letter:

The VVVVV Provincial Commercial Office (Account Supervision Office of VVVVV Province) observes that, in supervising business operations under the Accounting Act B.E. 2543 (2000), and based on the prescribed criteria for account preparation of responsible parties under the said Act, it is necessary to inquire about the business activities of the above-mentioned company, which involves foreign shareholder participation.

Pursuant to Section 24 of the Accounting Act B.E. 2543 (2000), you are requested to submit a factual explanation regarding the business operations, along with a copy of the accounting records and related documents used in bookkeeping for the accounting period of 2024, to the VVVVV Provincial Commercial Office at the designated location, no later than 18 July 2025. Failure to comply within the specified period shall result in penalties as stated in Section 36 of the same Act. That failure to submit such documents, or submission with false information, or concealing facts from the registrar, shall be liable to imprisonment for up to six months or a fine of not exceeding 100,000 Baht or both, in accordance with Section 37 of the Accounting Act B.E. 2543. The Chief Accountant officer of VVVVV provincial Commerical Office may visit your office in order to inspect accounts and supporting documents to comply with Section 22 of the Accounting Ace B.E.2543.

Additionally, if the company does not submit the accounting records and related documents used in bookkeeping within the specified period, the VVVVV Commercial Office will consider reporting this matter to the Department of Business Development, then will proceed to inform the accused of the fine payment and issue a note in the Company Certificate (Affidavit) stating that “This juristic person violates the order of the Chief Accountant or Accountant in the case of failure to submit accounts and/or clarify facts regarding the preparation of accounts for the fiscal year 2024, and report to the Revenue Department for further action.”

 

Therefore, we kindly ask for your cooperation to take action within the specified period.

1 Copy of shareholder registration book
2 Evidence of share ownership such as share certificates / stubs
3 Evidence of payment for shares such as a payment receipt or evidence of fund transfer indicating payment of share value, from incorporation to present, along with bank statements or account books indicating deposits received for share payments
4 Evidence of dividend payments since establishment to present (if any)
5 Details of real estate and ownership rights documents of the company, such as title deeds, lease agreements, property registration documents (if any)
6 Proof of income such as invoices / receipts for at least 6 months in the fiscal year 2023 or 2024, along with account statements for the same period, and tax filings (PND.50) and (PND.1) for at least 6 months

Notes:

  1. “Accounting year 2023 or 2024” means the latest fiscal year for which the company has already submitted information to the Department of Business Development.
  2. Documents submitted must be copies certified by the authorized person.
