My company registered with 4 directors, 3 foreign directors (with 1 have work permit) and 1 Thai director who can sign the documents for visa and work permit with the Ministry of Labor and Immigration Bureau including documents related to the Social Security Office, Revenue Department and Customs Department. If the Thai director do not like to continue for such position, can we remove him out without replace anyone and maintain only 3 foreign directors?

Panwa: Kindly note that there is no requirement for the amount of the director; normally the director can have only one person is enough but for shareholders the minimum required are 2 shareholders, however, it depends on the business objectives too because some kind of business they require the amount of director or some business they require for the Thai director such as the business of tourism. Moreover, for the visa and work permit departments (immigration and ministry of labour), please note that they require Thai director to sign the forms when the foreign director will extend Visa and work permit. Thus, before you can decide for remove and or replace the Thai director, please discuss with your team first why at the beginning your company registered with 3 directors and with a Thai director.
